W&G Represents CFC in Obtaining Unconditional FCC and British Virgin Islands Government Approvals to Acquire ICC Businesses

WASHINGTON D.C. (December 8, 2009)

Wiltshire & Grannis LLP (“W&G”) successfully represented National Rural Utilities Cooperative Finance Corporation (“CFC”) in obtaining unconditional approval from the U.S. Federal Communications Commission (“FCC”) and the British Virgin Islands (“BVI”) Government for CFC’s acquisition from Stan Springel, as Chapter 11 trustee for the bankruptcy estate of Innovative Communication Corporation (“ICC”), of the principal telecommunications and cable television providers in the U.S. Virgin Islands and the principal cable television provider in the British Virgin Islands.

On December 7, 2009, the chiefs of the FCC’s Wireline Competition, Wireless Telecommunications, Media, and International Bureaus issued an order granting consent for numerous license transfers and assignments.  The FCC rejected all attempts to deny or condition the approvals.  A copy of FCC’s order can be found here.

Earlier this fall, W&G represented CFC in obtaining the first-ever consents for license transfers under the new BVI Telecommunications Act.  In an order dated September 21, 2009, the BVI Minister for Communications and Works granted consent for the transfer of control from the Chapter 11 trustee to CFC of the unitary license held by BVI Cable TV Ltd.  In a separate order dated October 20, 2009, the BVI Telecommunications Regulatory Commission granted consent for the transfer of control to CFC of various frequency licenses held by BVI Cable TV Ltd.  Copies of the BVI approvals can be found at www.trc.vg.
