Jonathan B. Mirsky is a partner concentrating on
providing corporate, commercial, and regulatory advice to telecommunications
and media companies.
Corporate and Commercial. Mr. Mirsky provides general corporate and
commercial advice. Because many of Mr.
Mirsky’s clients are in the communications and media industries, he has
extensive experience advising regulated entities on corporate and commercial
matters.
Mergers and
Acquisitions. Mr. Mirsky structures and negotiates mergers and acquisitions
and other business combinations. As
corporate counsel, he has represented buyers and sellers of businesses in
transactions as large as $80 million, including companies providing cable and
satellite programming, directory assistance, broadcast television and radio,
information technology, and consulting.
Commercial
Contracts. Mr. Mirsky prepares and
negotiates general commercial contracts, including supply contracts, customer
contracts, and employment agreements. Mr. Mirsky has significant experience
preparing and negotiating agreements specific to the communications and media
industries, including wireless resale/MVNO agreements, wireline intercarrier
agreements, and spectrum lease agreements.
Start-Up Companies. For new ventures, Mr. Mirsky provides
counseling on formation and governance, securities and financing, and
protecting intellectual property.
Intellectual Property
Licensing. Mr. Mirsky prepares and
negotiates intellectual property licensing agreements. While many of his clients license
communications technology, Mr. Mirsky also has extensive trademark licensing
experience.
Communications Regulation and Licensing. Mr. Mirsky’s communications regulatory
practice emphasizes counseling clients on Federal Communications Commission and
state public service commission matters in connection with structuring
corporate transactions, including mergers, acquisitions, and financings. He
advises clients on the FCC’s rules addressing auction designated entities,
media ownership attribution, foreign ownership, investor protection, and
transfers of control. He has experience
addressing FCC and PSC issues arising from bankruptcy and corporate
restructuring. Mr. Mirsky has provided
FCC advice to banks and other financial institutions in connection with
arranging loans and credit facilities for communications and media
companies.
Mr. Mirsky has represented mobile and
fixed terrestrial wireless, broadcasting, wireline, satellite, and equipment
manufacturing companies in licensing, rulemaking, complaint, and other
proceedings before the Federal Communications Commission.
Mr. Mirsky received his law degree from Yale Law School and
clerked for Judge Ralph K. Winter on the U.S. Court of Appeals for the Second
Circuit. Mr. Mirsky graduated summa cum laude from Union College and completed
the General Course at the London School of Economics. He is a member of the bars of the District of
Columbia and Maryland.
